Key Board Roles

Chairman of the Board

The Chairman of the Board is responsible for leading the Board and facilitating constructive contribution by all directors to ensure the Board functions effectively in discharging its duties and responsibilities.

Non-Executive Directors

The Corporate Governance Manual also sets out additional duties of the Board’s Non-Executive Directors.

Directors

The primary objective of all Directors is to constructively challenge and help develop proposals on strategy. Full details of Directors’ duties are set out in the Group Corporate Governance Manual (available on the Company’s website). The Group also has in place a Directors’ Duties Policy, which clearly defines the key legal and statutory duties, powers and liabilities of the Company’s Directors.

The Company Secretary

The Company Secretary plays a significant role in ensuring that Board and committee meetings are run efficiently and that resolutions of the Board are actioned in a timely manner. The Company Secretary is also generally responsible for carrying out the administrative and legislative requirements of the Board, including ensuring that Board procedures are followed and that the applicable rules and regulations are complied with.
